These Terms are general terms for S.K. business activity. A specific project, invoice, proposal, contract, product page, checkout page, payment page, or project-specific legal document may contain additional or different terms. If there is a conflict, the specific terms clearly displayed or agreed for that purchase or project apply first.

S.K. may provide services, sell products, operate digital projects, or process international payments through the following official websites and projects.

The applicable product page, payment page, checkout page, platform page, invoice, or project-specific document displayed before payment applies to a specific Channly purchase.

For S.K. web design, web development, technical consulting, and custom services, the applicable terms may be provided in the invoice, quote, proposal, written agreement, email communication, project scope, or these general Terms.

5. Customer Acceptance

By placing an order, paying an invoice, clicking a payment link, completing a checkout, subscribing to a service, purchasing digital access, downloading a product, using a SaaS platform, requesting work, approving a proposal, or using any service or digital product provided by S.K., the customer confirms that they have read, understood, and agreed to the applicable terms.

If a customer does not agree with the applicable terms, the customer should not complete payment or use the product or service.

6. Prices, Currency, and Payment

Prices, currency, taxes if applicable, payment method, product or service description, access period, delivery method, and payment conditions are displayed or agreed before payment through one or more of the following:

  • product page;

  • checkout page;

  • payment link;

  • invoice;

  • written proposal;

  • email agreement;

  • contract;

  • platform interface;

  • order confirmation.

International card payments may be processed through Stripe or another available international payment provider.

Payment may be made by card, invoice, payment link, checkout page, bank transfer, or another agreed method.

Unless otherwise agreed in writing, payment is required before digital access, digital delivery, or project work is provided.

For custom services, payment may be required in advance, in milestones, monthly, after delivery, or according to another schedule stated in the invoice, proposal, or written agreement.

S.K. operates under the French “Franchise en base de TVA” regime. Unless otherwise required by applicable law or expressly displayed before payment, VAT is not charged separately.

The customer’s bank, card issuer, or payment provider may apply currency conversion, international card fees, or other charges. These charges are not controlled by S.K.

7. Payment Processing

International card payments may be processed through Stripe.

Card details are entered into the secure payment interface provided by the payment provider. S.K. does not store full bank card numbers, CVC codes, or full payment card details.

Stripe or another payment provider may process payment data, authentication checks, fraud-prevention checks, payment confirmation, receipts, refunds, disputes, chargebacks, and related payment information according to its own terms and privacy practices.

Payment confirmation may be delayed or refused because of bank decisions, fraud-prevention systems, card issuer rules, payment provider checks, regional restrictions, technical issues, or incorrect payment information.

8. Digital Products and Digital Access

Digital products and access products may include:

  • PDF files;

  • e-books;

  • recipe books;

  • digital guides;

  • webinars;

  • video materials;

  • online lessons;

  • online programs;

  • private content;

  • paid memberships;

  • paid channel access;

  • SaaS access;

  • platform access;

  • downloadable files;

  • digital educational materials;

  • other digital content displayed before payment.

Digital delivery may be provided through download link, email, customer account, private page, Telegram access, SaaS account, platform access, video access, webinar access, or another official method displayed before or after payment.

Unless expressly stated otherwise, no physical goods are shipped for digital products.

9. Custom Web Design, Development, and Technical Services

S.K. may provide custom services including website design, web development, web application development, UI/UX design, frontend and backend development, payment integration setup, technical consulting, SaaS development, website maintenance, and related services.

For custom services, the scope, price, timeline, deliverables, revisions, payment schedule, support period, and responsibilities should be defined in a proposal, invoice, email agreement, written contract, task description, or other written communication.

Unless otherwise agreed in writing:

  • work begins after the agreed payment or deposit is received;

  • delays caused by the customer may extend the timeline;

  • customer feedback and approvals are required for progress;

  • third-party costs are not included unless expressly stated;

  • additional work outside the agreed scope may require additional payment;

  • final delivery may be paused if payments are overdue;

  • ownership or licensing of deliverables may depend on full payment.

10. Customer Responsibilities for Custom Services

For custom services, the customer is responsible for:

  • providing accurate project requirements;

  • providing texts, images, branding, access credentials, hosting details, payment provider details, and other materials needed for the project;

  • obtaining rights to any materials supplied to S.K.;

  • reviewing work and providing timely feedback;

  • testing delivered work where applicable;

  • approving final delivery;

  • paying invoices on time;

  • maintaining third-party accounts, domains, hosting, plugins, subscriptions, APIs, and payment provider accounts unless otherwise agreed.

S.K. is not responsible for delays, errors, or limitations caused by incomplete information, delayed feedback, incorrect access credentials, third-party platform restrictions, hosting issues, payment provider rules, plugin limitations, or customer-provided materials.

11. SaaS, Platform Access, and Online Memberships

Some products or services may include SaaS access, platform access, paid channel access, online memberships, private content access, or digital subscriptions.

The applicable access period, renewal model, cancellation process, included features, restrictions, and pricing are displayed before payment on the relevant product page, platform, checkout page, invoice, or project-specific document.

A purchase is not an automatic recurring subscription unless recurring billing is clearly displayed and expressly confirmed before payment.

S.K. may suspend or terminate access if payment fails, payment is refunded, a chargeback is opened, the customer violates applicable terms, access is shared without permission, or suspension is required for security, legal, or operational reasons.

12. Refunds and Cancellations

Refund and cancellation rules depend on the specific product or service.

For digital products, online memberships, SaaS access, paid channel access, downloaded files, private content, or immediate digital delivery, refunds may be limited once access has been provided, a file has been downloaded, or materials have been opened.

For custom web design, development, consulting, implementation, or technical services, refunds may depend on:

  • the agreed project scope;

  • the invoice or proposal;

  • work already performed;

  • time already spent;

  • third-party costs already incurred;

  • payment provider fees;

  • cancellation timing;

  • written agreement with the customer;

  • applicable law.

Unless mandatory law provides otherwise, deposits, payments for completed work, payments for time already spent, and payments for immediate digital access may be non-refundable.

If the customer has an issue with payment, delivery, access, or service quality, the customer should contact S.K. before opening a bank dispute or chargeback.

13. Right of Withdrawal for Consumers

If the customer is a consumer located in the European Union or another jurisdiction with a statutory right of withdrawal, the customer may have certain withdrawal rights for distance purchases.

However, for digital content, digital services, SaaS access, immediate online access, custom services, or services started before the withdrawal period expires, the right of withdrawal may be limited or lost where the customer expressly requests immediate performance or immediate access and acknowledges the possible loss of the withdrawal right, to the extent permitted by applicable law.

Nothing in these Terms limits mandatory consumer rights that cannot be waived under applicable law.

14. Educational and Health Disclaimer

Some digital materials connected with Olga Ugrymova may relate to nutrition, recipes, lifestyle, wellness, women’s health, weight management, sleep, recovery, and related educational topics.

Such materials are provided for informational and educational purposes only.

They are not medical advice, diagnosis, treatment, individual nutrition consultation, dietary prescription, psychological advice, therapy, or a substitute for consultation with a qualified doctor, dietitian, nutritionist, psychologist, or other healthcare professional.

Customers are responsible for considering personal health conditions, allergies, food intolerances, contraindications, pregnancy, breastfeeding, medication use, medical restrictions, and any other individual circumstances before applying any information, recipe, recommendation, program, or material.

S.K. and the content author do not guarantee individual health, nutrition, weight, lifestyle, sleep, wellbeing, or wellness results.

15. Intellectual Property

All websites, designs, layouts, software, source code, SaaS interfaces, digital products, text, images, videos, PDF files, e-books, recipes, guides, educational materials, graphics, branding, and other materials may be protected by copyright and intellectual property laws.

Unless otherwise agreed in writing, purchasing a digital product, membership, platform access, or service does not transfer ownership of intellectual property rights.

For digital content, the customer receives a limited, personal, non-exclusive, non-transferable right to access and use the purchased materials for personal, non-commercial purposes only.

For custom services, ownership or usage rights in deliverables may depend on the agreed scope and full payment. Unless otherwise agreed in writing, S.K. may retain rights to reusable components, know-how, design systems, libraries, templates, technical methods, internal tools, pre-existing materials, and general expertise.

The customer must not copy, reproduce, resell, publish, share, distribute, sublicense, transfer, reverse engineer, scrape, bypass access controls, or commercially exploit digital products, private content, SaaS access, platform access, or project deliverables without permission.

16. Third-Party Services

S.K. projects and services may depend on third-party services including, but not limited to:

  • Stripe;

  • banks and card networks;

  • hosting providers;

  • domain registrars;

  • WordPress;

  • WooCommerce;

  • Lovable;

  • Supabase;

  • Telegram;

  • email service providers;

  • analytics tools;

  • video hosting providers;

  • file storage providers;

  • security tools;

  • payment providers;

  • APIs;

  • plugins;

  • software libraries;

  • SaaS tools.

S.K. is not responsible for interruptions, restrictions, policy changes, account limitations, payment refusals, outages, security incidents, or technical problems caused by third-party services outside S.K.’s control.

Where possible and commercially reasonable, S.K. may try to help resolve or work around third-party issues.

17. Availability and Maintenance

S.K. aims to provide reliable services and digital access but does not guarantee uninterrupted availability.

Websites, platforms, SaaS products, download links, payment systems, email delivery, hosting, databases, APIs, and third-party services may be temporarily unavailable because of maintenance, updates, technical issues, security incidents, payment provider issues, hosting issues, internet provider issues, legal requirements, cyberattacks, or force majeure.

S.K. may update, modify, suspend, restrict, or discontinue services, websites, products, or access methods if required for technical, legal, security, operational, or business reasons.

18. Prohibited Use

Customers must not use S.K. products, services, websites, platforms, payment flows, or access systems for:

  • illegal activity;

  • fraud;

  • chargeback abuse;

  • unauthorized sharing or resale;

  • copying or distributing protected content;

  • attempts to bypass payment or access controls;

  • attacks on websites, servers, platforms, or payment systems;

  • spam, harassment, abusive communication, or threats;

  • infringement of intellectual property rights;

  • violation of third-party platform rules;

  • any activity that harms S.K., customers, authors, platforms, or third parties.

Violation of these rules may result in suspension or termination of access without refund and may lead to legal action.

19. Limitation of Liability

To the maximum extent permitted by law, S.K. is not liable for:

  • indirect, incidental, consequential, special, or lost-profit damages;

  • customer’s individual results from using digital materials;

  • health, nutrition, weight, lifestyle, sleep, or wellbeing consequences of applying educational content;

  • losses caused by customer-provided materials, incorrect information, or delayed feedback;

  • third-party service failures;

  • payment provider refusals or delays;

  • hosting, domain, email, API, plugin, or platform outages;

  • unauthorized access caused by the customer sharing credentials;

  • issues caused by the customer’s device, software, browser, internet connection, account settings, or regional restrictions.

Unless mandatory law provides otherwise, S.K.’s total liability for any claim is limited to the amount actually paid by the customer for the specific product or service giving rise to the claim.

By purchasing or using products or services, the customer understands that personal data may be processed for order management, payment processing, digital delivery, customer support, project delivery, legal compliance, fraud prevention, analytics, and business operations.

21. Force Majeure

S.K. is not responsible for failure or delay in performance caused by circumstances beyond reasonable control, including but not limited to natural disasters, war, strikes, epidemics, pandemics, government actions, payment system outages, hosting failures, internet provider failures, cyberattacks, legal restrictions, platform outages, or other extraordinary circumstances.

22. Changes to These Terms

S.K. may update these Terms at any time by publishing a new version on the website.

The version applicable to a purchase or project is the version available at the time of payment or agreement, unless mandatory law or a later written agreement provides otherwise.

Continued use of products, services, platforms, or digital access after changes are published may constitute acceptance of the updated Terms, to the extent permitted by applicable law.

23. Governing Law and Disputes

These Terms are governed by the laws of France, unless mandatory consumer protection laws of the customer’s country provide otherwise.
